CCP Authorises Fatima Fertilizer's Acquisition of Agritech Shares
The Competition Commission of Pakistan (CCP) authorised Fatima Fertilizer’s acquisition of shares in Agritech Limited. The CCP completed its Phase-I competition review on Tuesday.
This transaction involved the acquisition of Agritech shares across two distinct stages. The Commission assessed the total shareholding resulting from both purchases as a single aggregate transaction.
The CCP identified urea and SSP as the relevant product markets for its assessment. Investigators noted a horizontal overlap between Fatima Fertilizer and Agritech specifically within the urea market.
However, the CCP determined that Fatima Fertilizer held no market share in the SSP market, meaning Agritech’s standing in that sector remained unchanged. Ultimately, the CCP concluded that the transaction did not present a risk of substantially lessening competition.
The Commission authorised the transaction under Section 31(1)(d)(i) of the Competition Act, 2010. Furthermore, the records show that Fatima Fertilizer divested its entire shareholding in Agritech.
